Acceptance of Terms
These Terms and Conditions govern access to and use of the Eduformium website, learning management system, school management system, applications, dashboards, digital content, artificial intelligence tools, and related services (collectively, the "Platform").
By creating an account, applying to become an instructor, uploading teaching materials, enrolling in or purchasing courses, registering a school, or otherwise accessing or using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree to these Terms, you must not access or use the Platform. Eduformium reserves the right to revise these Terms at any time. Continued use of the Platform after updates are posted constitutes acceptance of the revised Terms.
Platform Purpose, Scope and Continuous Innovation
2.1 Continuous Innovation and Additional Educational Tools
Eduformium is an evolving digital ecosystem committed to building solutions for the African educational landscape. The Platform reserves the right to design, launch, deploy, and integrate additional proprietary educational applications, AI-driven automation systems, administrative utilities, and teacher-support tools at any time. Any new tools launched under the Eduformium brand automatically fall under the definition of the Platform and are instantly governed by these Terms upon their release.
2.2 Learning Platform for Educators (LMS)
Eduformium operates a teaching-centred digital learning platform designed to support all categories of educators within the education system, including early childhood educators, primary and junior high school teachers, senior high school and secondary school teachers, tertiary and higher education lecturers, special needs practitioners, TVET instructors, school administrators, curriculum developers, education officers, and corporate trainers.
2.3 Lesson Planner System (Eduformium AI)
Eduformium provides an AI-powered Lesson Planner designed to assist educators in generating structured lesson plans aligned with national curriculum frameworks, including standards set by the National Council for Curriculum and Assessment (NaCCA), Ghana Education Service (GES), and other African ministries of education.
The Lesson Planner is provided strictly as an administrative and pedagogical support tool for educators. It does not replace independent professional teaching judgment, nor does it represent a formal partnership with or endorsement by national educational bodies.
All lesson plans generated are AI-assisted outputs and must be reviewed, edited, and culturally or academically adapted by the educator prior to classroom delivery. The user retains sole responsibility for verifying accuracy, curriculum alignment, and developmental appropriateness for their specific learners.
Eduformium may apply daily or periodic generation limits, free and premium generation tiers, or token-based usage systems to ensure fair use and platform stability. Abuse of the system, including automated scraping or excessive concurrent generation attempts, may result in restriction or suspension of platform privileges.
Educators receive a daily allowance of free standard generations at no charge. Premium generations are powered by Credits, a prepaid virtual token purchased in fixed packages and deducted at a rate of one Credit per premium generation. Credit packages, pricing, and any applicable bundle savings are displayed within the Lesson Planner application at the time of purchase and are governed by the Credit and Virtual Wallet provisions of Eduformium's Refund and Returns Policy. Eduformium may revise daily free allowances, Credit package sizes, or Credit pricing at any time, with such changes taking effect for purchases made after the change is published within the application.
2.4 Timetable Generator System
Eduformium provides an intelligent Timetable Generator to assist schools in creating structured academic schedules using rule-based algorithms and AI scheduling optimisation, with conflict detection and timetable visualisation tools. Generated timetables are based on system logic and available input data. Schools are entirely responsible for reviewing generated timetables, making necessary manual adjustments, and ensuring practical feasibility within their institution.
The Timetable Generator operates on the same Credit-based premium model described in Section 2.3, with its own free daily allowance and independently priced Credit packages reflecting the relative computational cost of timetable generation. Current package sizes and pricing are displayed within the Timetable Generator application at the time of purchase.
2.5 School Management System (SMS)
Eduformium SMS is a cloud-based school administration platform built for schools across Ghana and Africa. Features include student records and enrolment management, fee tracking and payment records, attendance recording, academic results and report card generation, teacher and staff management, parent and guardian communication via SMS and WhatsApp notifications, multi-branch school administration, and offline capability via Progressive Web App (PWA) technology.
2.6 Integration with the Eduformium Ecosystem
All applications, engines, utilities, and components form an integral part of the broader Eduformium platform and sync directly with the unified School Management System, educator dashboards, and associated AI automation tools.
2.7 Educational Positioning and Non-Accreditation
Eduformium is an independent digital learning platform that operates outside the formal government education structure. Courses and programmes are professional and non-formal in nature, designed to complement traditional education rather than replicate or replace formal academic degrees, diplomas, or ministry certifications. Eduformium does not position itself as a government body, formal regulatory authority, or formally accredited tertiary institution.
2.8 Certificates of Completion
Eduformium issues Certificates of Completion to learners who fulfil the requirements of a course. These certificates confirm participation and successful completion and carry professional and developmental value. Whether a certificate is recognised by a specific employer, institution, or regulatory body is a determination made independently by that party. Eduformium makes no guarantee about recognition outcomes.
User Accounts and Responsibilities
3.1 Eligibility
Users must be at least eighteen (18) years of age, or the legal age of majority in their jurisdiction, to create an account. School administrators registering on behalf of an institution confirm that they are duly authorised to bind that institution to these Terms.
The Eduformium Learning Platform is intended for adults only. However, the Eduformium SMS is used by schools to administer records of students, including minors. Schools using the Platform are solely responsible for ensuring they have lawful authority to enter and process the personal data of minor students in compliance with applicable local data protection frameworks.
3.2 Account Security
Users are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account. Account sharing, impersonation, or unauthorised access is strictly prohibited and may result in suspension or termination.
3.3 School Account Registration
Schools registering on the Platform must provide accurate information including the school name, location, and approximate student count. The person completing registration is deemed the primary school administrator and is responsible for all actions taken under that account.
Instructor Status and Obligations
4.1 Independent Instructor Relationship
Instructors operate as independent education professionals. Nothing in these Terms creates an employment, partnership, agency, or joint-venture relationship between Eduformium and any instructor.
4.2 Teaching Standards
Instructors agree to deliver accurate, ethical, and pedagogically sound content; avoid false or misleading academic or credential claims; respect learner diversity and inclusion; and comply with applicable intellectual property and education laws. Instructors and affiliates earning income through the Platform are solely responsible for declaring and paying any applicable taxes in accordance with the laws of Ghana and any other jurisdiction in which they operate.
4.3 Content Review and Appeals
Where Eduformium determines that instructor content does not meet platform standards, Eduformium will notify the instructor by email, stating the specific grounds for concern. The instructor will have seven (7) days to respond, provide clarification, or submit a revised version. Eduformium will communicate its final decision within seven (7) days. If the instructor disagrees, they may escalate in writing within fourteen (14) days, and Eduformium will provide a written determination within fourteen (14) days of receiving the escalation.
Content that poses an immediate risk of harm, contains illegal material, or constitutes a serious violation may be removed without prior notice.
4.4 Instructor Credential Verification
Eduformium may request supporting information to verify claimed qualifications or credentials. Instructors must not misrepresent their qualifications, experience, or professional background.
Intellectual Property Rights
Instructors retain full ownership of all intellectual property rights in the content they create and upload. By uploading content, instructors grant Eduformium a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, distribute, transcode, and promote such content solely for Platform operation and educational delivery.
All student records, fee data, attendance records, result sheets, lesson templates, and other institutional data entered into the Platform by a school remain the property of that school. Eduformium does not claim ownership of any school-generated data.
Users retain all proprietary rights to the specific finalised lesson plans they generate, customise, and adapt. Generated lesson outputs are intended for direct educational delivery and must not be bulk-downloaded, resold, or distributed as standalone commercial digital products without substantial modification.
Eduformium maintains a zero-tolerance policy for plagiarism, copyright infringement, or unauthorised use of third-party content across all current and future products.
Learner Access and Use Restrictions
Learners are granted a limited, non-transferable licence to access enrolled courses for personal, educational, and non-commercial use only. Learners may not:
- Record, download, copy, or redistribute course materials
- Share login credentials with any other person
- Use platform content for unauthorised teaching or commercial purposes
Payments, Instructor Earnings and Affiliate Programme
7.1 Paid Courses Only
Instructor earnings are generated exclusively from paid course purchases. Free courses do not generate instructor earnings.
7.2 Revenue Share Structure
For each standard paid course purchase completed without a promotional or affiliate referral coupon: 90% of net course revenue is allocated to the instructor, and 10% is retained by Eduformium as a platform service fee. Net course revenue refers to the amount received after discounts, excluding statutory taxes, structural refunds, payment processing chargebacks, and gateway processing fees.
7.3 Instructor Earnings Payments
Instructor earnings are processed on a monthly basis. Payments are issued within fifteen (15) business days following the close of each calendar month, subject to a minimum payout threshold as published on the Platform dashboard. Earnings below the minimum threshold will roll over to the following calendar month. Instructors will receive at least fourteen (14) days' notice regarding any structural updates to the threshold.
7.4 and 7.5 Affiliate Referral Programme
Eligible instructors may receive a unique referral coupon code upon administrative approval. When a learner uses an instructor's valid referral coupon to enrol in a paid course, the learner receives a 30% discount on the retail price, and the standard 90% instructor payout applies to the final discounted net revenue. The 10% platform fee remains fixed.
7.6 Affiliate Programme Rules
Coupon codes may not be used for self-purchases or combined with other promotions unless expressly permitted. No commission or standard split is earned on free courses or refunded purchases. System abuse may result in immediate termination of affiliate privileges.
7.7 Payment Disputes
Instructors must raise disputes in writing within thirty (30) days of the relevant payment date. Eduformium will respond within fourteen (14) business days.
7.8 and 7.9 Payment Adjustments and Programme Changes
Eduformium may withhold, adjust, or reverse payments in cases involving refunds, chargebacks, disputes, fraud investigations, or legal compliance requirements. Eduformium reserves the right to modify or discontinue the Affiliate Programme including commission rates or discount percentages. Changes will not affect commissions already earned on completed and validated transactions.
7.10 Learner Refund Policy
Learners who are dissatisfied with a course purchase may request a refund within seven (7) days of purchase, provided that no more than twenty percent (20%) of the course content has been accessed. Refund requests must be submitted through the Platform's designated support channel and will be reviewed within five (5) business days.
7.11 and 7.12 Course Removal and Exceptional Circumstances
Where Eduformium removes a course due to policy violations or instructor withdrawal, affected learners may be entitled to a partial or full refund depending on the level of course content already accessed. Eduformium may, at its sole discretion, consider refund requests outside the standard conditions in exceptional situations including documented medical emergencies or significant platform service failures.
School Subscription Packages and Billing
8.1 Free Trial Period
New schools registering on Eduformium are entitled to a free trial period of three (3) months from the date of registration, with full access to all active features at no charge. No payment information is required to start the trial. Eduformium will notify schools at least two (2) weeks before the trial period ends.
8.2 Subscription Plans
Paid access is structured around student-count-based subscription tiers. All prices are in Ghana Cedis (GHS):

8.3 to 8.7 Billing, Upgrades and Refunds
Multi-branch administration is available on Silver, Gold, Platinum, and Enterprise plans. When a school's registered student count exceeds the upper limit of its current plan, Eduformium will notify the school before any plan change or billing adjustment is applied. Upgrades are prorated and no penalties apply for school growth.
Subscriptions are available on monthly, termly, or annual billing cycles. Eduformium may suspend access if payment is not received within fourteen (14) days of a billing date. Subscription fees are generally non-refundable except where required by applicable law. Billing disputes must be raised in writing within thirty (30) days of the relevant charge. Eduformium reserves the right to modify subscription plan pricing, tier structures, or available features, providing at least thirty (30) days' notice to active subscribers before changes take effect.
Data Privacy and Personal Data Protection
Eduformium processes personal data in accordance with the Data Protection Act, 2012 (Act 843) of Ghana, as well as applicable regional data protection frameworks including the NDPA in Nigeria, POPIA in South Africa, and applicable Acts across East and West Africa.
9.1 School Responsibility for Student Data
Schools are responsible for ensuring they have appropriate consent, authority, or lawful basis to enter student and parent or guardian data into the system. By entering data into the platform, schools represent that they are authorised to do so and agree to indemnify Eduformium against any claims arising from unauthorised or unlawful data entry.
9.2 Eduformium's Role as Data Processor and Controller
With respect to student, parent, and other institutional data entered by schools, Eduformium acts solely as a data processor, processing such data only on the instructions of the school as data controller. With respect to data provided directly by individual users of the Learning Platform, Eduformium acts as a data controller and processes such data in accordance with its Privacy Policy.
9.3 Data Security
Eduformium implements appropriate technical and organisational measures to protect data stored on the Platform against unauthorised access, loss, or disclosure. No digital system is entirely free from risk, and users and schools are advised to adopt their own appropriate security practices.
9.4 Payment Card and Mobile Money Data
Eduformium does not directly store full payment card numbers, card security codes, or mobile money PINs on its own servers. All payment transactions are processed through certified third-party payment processors, including Paystack and Flutterwave, which handle sensitive payment data in accordance with applicable card industry and mobile money security standards. Eduformium's role is limited to initiating transactions and receiving confirmation of payment outcomes from these processors.
9.5 No Sale of Personal Data
Eduformium does not sell, rent, or trade personal data, student records, or school institutional data to third-party advertising brokers or data resellers. Personal data may be shared with service providers strictly to the extent necessary to operate the Platform, such as payment processors, cloud hosting providers, and SMS or WhatsApp messaging gateways used to deliver school communications, each of whom is bound by appropriate data protection obligations.
9.6 Security Incident Notification
In the event Eduformium confirms a security incident resulting in unauthorised access to personal data, Eduformium will notify affected users and the relevant school's designated administrator within forty-eight (48) to seventy-two (72) hours of internal confirmation of the incident, to the extent reasonably practicable and as required by applicable law. Such notification will include, where known at the time, the nature and scope of the incident and the mitigation steps being taken. Eduformium may provide further updates as the investigation of the incident progresses.
9.7 Data Retention
Upon termination of a school's subscription, Eduformium will retain school data for sixty (60) days to allow the school to export its records before deletion. Following this period, Eduformium will securely delete or anonymise all retained school data.
9.8 Communications and Data Subject Rights
Where automated SMS or WhatsApp notifications are sent to parents and guardians, schools are responsible for ensuring that recipients have consented to receive such communications in accordance with applicable regulations. Individuals whose personal data is processed by Eduformium as a data controller have the right to access, correct, or request deletion of their personal data. Requests will be responded to within thirty (30) days.
Offline Use and Platform Availability
Key modules of the Eduformium ecosystem are built as Progressive Web Apps, allowing certain administrative functions to operate without an active internet connection. Data entered offline will synchronise automatically once connectivity is restored. Eduformium does not guarantee the completeness or accuracy of offline synchronisation in all circumstances.
Eduformium strives to maintain reliable access to all tools but does not guarantee uninterrupted availability. Scheduled maintenance, upgrades, or unforeseen technical disruptions may occur. Eduformium will endeavour to provide at least twenty-four (24) hours advance notice of planned maintenance where possible.
Eduformium shall not be liable for any failure or delay resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, power failures, internet outages, cyberattacks, government actions, or civil unrest.
Coming Soon Features
Various modules within the Eduformium ecosystem are in active development. Features listed as "Coming Soon" on the Platform, including Parent Portal enhancements, direct Mobile Money billing integration, Digital Admissions modules, and advanced automated workflow integrations, are not yet available. Eduformium makes no commitment to a specific delivery timeline for forthcoming features. Current subscription pricing is based on features that are live and available at the time of subscription.
Disclaimers
The Platform is provided on an "as is" and "as available" basis. Eduformium does not guarantee employment outcomes, promotions, or licensing outcomes resulting from the completion of any course or programme. Eduformium does not guarantee any specific administrative or operational outcome from use of its School Management utilities or AI tools.
Eduformium operates independently and is not affiliated with, authorised by, or acting on behalf of any government education authority, professional licensing board, or regulatory institution in Ghana or elsewhere, unless expressly stated in a separate written agreement.
Limitation of Liability
To the fullest extent permitted by law, Eduformium shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform, including but not limited to loss of data, loss of revenue, or operational disruption. Eduformium's total liability to any user or school shall not exceed the amount paid by that user or school to Eduformium in the three (3) months preceding the relevant claim.
Nothing in these Terms limits Eduformium's liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded or limited under applicable law in Ghana.
Indemnification
Users and schools agree to indemnify and hold harmless Eduformium, its directors, staff, and agents from any claims, losses, or expenses arising from their content, data entries, conduct, or violation of these Terms, including any claims arising from the unauthorised or unlawful processing of personal data submitted to the Platform by that user or school.
Suspension, Termination and Voluntary Exit
15.1 Termination by Eduformium
Eduformium reserves the right to suspend or terminate any account, whether individual or institutional, that violates these Terms or poses legal, ethical, reputational, or operational risk to the Platform.
15.2 Voluntary Account Closure
Users and schools may close their accounts at any time by submitting a written request through Eduformium's official support channels. For individual users and instructors, account closure will be processed within fourteen (14) days of a valid request. Any outstanding earnings will be paid out in accordance with Section 7.3, provided the minimum payout threshold is met. For schools, voluntary subscription cancellation takes effect at the end of the current billing cycle. Schools must export their data before cancellation takes effect.
15.3 Effect of Termination
Termination does not automatically result in immediate data deletion. The data retention provisions in Section 9.7 apply following any form of termination. Upon closure, users and schools lose access to the Platform and any associated features and materials.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Ghana. Disputes shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty (30) days of written notice of a dispute, the parties shall submit the matter to mediation. If mediation fails, disputes shall be referred to the courts of Accra, Ghana, which shall have exclusive jurisdiction. Parties may agree to use the Ghana Arbitration Centre or any other mutually agreed mediation body.
General Provisions
These Terms constitute the entire agreement between the parties regarding the use of the Platform. If any provision is deemed unenforceable, the remaining provisions remain valid and in full effect. Failure to enforce any right under these Terms shall not constitute a waiver of that right. These Terms should be read together with Eduformium's Privacy Policy and Refund and Returns Policy, which are incorporated by reference.
By using any current or future Eduformium application, tool, or service, you acknowledge and agree to these Terms and Conditions in full.
